REGULATION OF MOVEMENT OF MEN, MATERIAL AND VEHICLES AT THE ENTRY POINTS OF THE CENTRE AND GUARDING OF VITAL INSTALLATION AND PROVIDING SERVICES OF A DRIVER AT THE RCED (JALANDHAR) 1. The prospective tenderers may satisfy themselves about the requirements by visiting the Regional Centre For Extension and Development (Central Leather Research Institute), Leather Complex, Kapurthala Road, Jalandhar 144021 on any working day between 9.30 AM to 4.00 PM before submitting their tender. 2. Bids are invited only from reputed Security agencies that are registered under the Private Security Agencies (Regulation) Act, 2005. Proof for above registration must invariably accompany the Technical bid. The Driver should have valid Driving licence. 3. The tender should be submitted in the specified form Tender Schedule (Nontransferable) as given in Annexure-I in a sealed cover with the name of the contract written on the inner envelope. The Tenderer is also required to fill-up and append their signature in the Compliance Statement as in Annexure II and attach it to the Tender Document. 4. Bidders are required to write the name of the company/contractor, Telephone No. and the Tender Number on the backside of EMD Demand Draft and Tender Document Fee Demand Draft. 5. The tenderers shall furnish a list of their clients for whom they have been executing similar work and submit copies of work orders and other details. 6. Copies of the balance sheet for the last three years to be attached in the bid. 7. While submitting the tender, the Contractor shall deposit an EMD of Rs.32,000/- by Demand draft drawn in favour of Director, C.L.R.I., Chennai which will be refunded in respect of unsuccessful tenderers. 8. Income-tax at the prevailing rate (presently 2% and surcharge thereon at the rate of 0% & 0% Education cess) in case the Contractor is an individual and 15% in case the Contractor is a firm will be deducted from the monthly bill of the Contractor or as amended from time to time. The contractor shall give break up in his quote 9. If any tenderer withdraws his tender within the validity period or makes any modification in the terms and conditions of the tender which are not acceptable to the department, then the CSIR shall, without prejudice to any other right or remedy, be at liberty to forfeit 50% (fifty per cent) of the earnest money absolutely. 10. If any relative of the tenderer is an employee of CLRI/RCED the name, designation and relationship of such employee shall be intimated to the Scientist in charge, RCED (CLRI), Jalandhar in writing while submitting the tender. 11. The tender submitted shall remain valid for 90 days from the date of opening for the purpose of acceptance and award of work. Validity beyond 90 days from the date of opening shall be by mutual consent. 12. 13. Tenders without EMD and incomplete tenders are liable to be rejected 14. Other things being equal contractors belonging to SC/ST Community will be given preference. 15. The Contract is for a period of ONE YEAR which may be extended further subject to satisfactory performance of the work at the same tendered rate. The Contractor shall execute an agreement on a Non-judicial stamp paper of appropriate value (Rs. 100/-) in consultation with the Scientist in charge, before taking up the Contract agreeing to abide by all the terms and conditions mentioned herein. 16. Before signing the agreement, the Contractor shall deposit 5% of the annual value of contract (adjusting the EMD) as Security Deposit in the form of Bank Guarantee/NSCs (Conditions apply) which would be released on expiry/termination of the contract after adjustment of dues if any. 17. The Contractor shall obtain the necessary licence under the Contract Labour (Regulation and Abolition) Act 1970 from the competent authority. 18. The working hours for the personnel engaged under the Security Contract would be round the clock. The work should be carried out on all days including Sundays and holidays. The working hours for the personnel engaged under Job work contract (Driver) will be from Monday to Saturday 8.30 a.m. to 5.30 p.m. with one hour lunch break. However, work for the Driver may be assigned even on Sunday and Holidays as decided by the Scientist-in-Charge. 19. The workers deployed by the Contractor shall possess good physique and no person below 18 years of age and persons preferably below the age of 50 years shall be deployed. 20. The persons deployed by the Contractor shall be the employees of the Contractor. In no case shall a relationship of employee and employer between the said persons and CSIR accrue implicitly or explicitly 21. For the purpose of proper identification of the personnel of the Contractor, the Contractor shall issue identify cards as specified by Scientist in charge, RCED(CLRI), Jalandhar and the said personnel shall be bound to display them while on duty within the RCED premises. In case of loss the Contractor shall immediately inform the Scientist in charge, RCED (CLRI), Jalandhar and make arrangements for issue of a duplicate identity card with the approval of latter. 22. The number of workers to be employed shall not be less than what is agreed upon on any working day. If the Contractor fails to deploy the required minimum number of persons as indicated for satisfactory execution of the work, recovery at 10% of wages payable to the persons by the Contractor shall be recovered from the monthly bill. 23. The Contractor should ensure that only well behaved workers, who can carry out and obey the instructions of the Contractor are employed. In case where the work or behaviour of any worker is not found satisfactory, the Contractor should replace him immediately. 24. The Scientist in charge, RCED (CLRI), Jalandhar or any other person authorised by him shall be at liberty to carry out surprise checks on the persons so deployed by the Contractor in order to ensure their strength/duties. 25. The personnel of the Contractor shall be subject to security checks and restrictions of the RCED, (CLRI) Jalandhar. - 9 -

26. The persons deployed by the Contractor shall remain under the control and supervision of the Contractor and the Contractor shall be liable for payment of their wages, etc and all other dues which the Contractor is liable to pay under various Labour Regulations and other statutory provisions. 27. The Contractor shall conform to the provision of Central/State Act(s) or the Regulations on the subject as well as the terms and conditions of the agreement to be executed. 28. The Contractor shall disburse the wages to his personnel in the presence of an officer nominated by the Scientist in charge, RCED (CLRI), Jalandhar, on or before the seventh day of every month. The disbursement shall be done within the premises of the RCED (CLRI), Jalandhar on a working day and during working hours of the RCED,(CLRI), Jalandhar. On their part, CLRI shall make payment to the Contractor within ten working days of receipt of the bill from the Contractor, if the bill is in order and all required document has been submitted. 29. The Contractor shall, on demand, furnish copies of wage register/ muster rolls etc. to Scientist in charge, RCED (CLRI), Jalandhar for having paid all the dues to the persons deployed by the Contractor for the work. The Contractor shall communicate to RCED (CLRI), Jalandhar the name, parentage, residential address, age etc. of each of the persons deployed by him. 30. The Contractor shall deploy his persons in such a way that the persons get weekly rest/leave under relevant provisions of the Shops & Establishments Act. The Contractor shall in all his dealings with the persons in his employment have due regard to all recognized festivals, days of rest and religious or other customs. In the event of the Contractor committing a default or breach of any other provisions of the Labour Laws including the provisions of Contract Labour (Regulations & Abolition) Act 1970, as amended from time to time or furnish any information, or submit or file any statement under the provisions of the said regulations and rules which is materially incorrect, he shall without prejudice to any other liability pay to the Director, CLRI, Chennai a sum not exceeding half per cent of the monthly wages for every default, breach of furnishing, making submitting, filing such materially incorrect statement in the event of the Contractor defaulting continuously in this respect he shall be liable to pay half percent of the monthly wages per day for breach or default. The rates quoted must not be less than the minimum wages prescribed by the State Govt. / Central Govt., whichever is higher. 31. During the validity of the Contract, the Contractor shall not make any additional claims other than expressly quoted. The Contractor shall have to execute additional similar works if any, when called for during the period of Contract by engaging additional workers on the same terms and conditions of the Contract. The payment of Bonus is subject to the ceiling limit as notified by the Government under Payment of Bonus Act, 1965 with amendments, if any. - 11 -

32. The Contractor shall keep the RCED (CLRI), Jalandhar indemnified against all claims whatsoever in respect of the employees deployed by him. In case any employee of the Contractor so deployed enters into dispute of any nature whatsoever, it will be the sole responsibility of the Contractor to contest the same. In case RCED (CLRI), Jalandhar is made a party and is supposed to contest the case, the Contractor shall reimburse to RCED (CLRI), Jalandhar the actual expenses incurred towards Counsel fee and other expenses which shall be paid in advance by the Contractor on demand. The Contractor shall ensure that no financial or any other liability comes on RCED (CLRI), Jalandhar in this respect of any nature whatsoever and shall keep RCED (CLRI), Jalandhar indemnified in this respect. 33. RCED (CLRI), Jalandhar shall have the right to adjust and or deduct any of the amount as aforesaid from the payment to the Contractor. 34. The Contractor shall furnish an indemnity bond on non-judicial stamp paper of appropriate value (Rs. 100/-) equal to the annual value of the Contract at his own cost to indemnify RCED (CLRI), Jalandhar against any claim arising out of or connected with the Contract, if the contract is awarded. 35. As regards reimbursement of claim towards statutory payments, it shall be the responsibility of the Contractor to pay these sums at the rates prescribed by the authorities concerned and then produce documentary evidence to admit the claims for payment. This may be claimed through supplementary bills periodically. This contract may be terminated on any of the following contingencies: (a) On the expiry of the contract period as stated above. (b) By giving one month s notice by RCED (CLRI), Jalandhar. i) for committing breach by the Contractor of any terms & conditions of the agreement. ii) on assigning the contract or any part thereof or any benefit or interest therein or there under by the Contractor to any third person or sub-letting whole or part of the contract to any third person. c) on Contractor being declared insolvent by competent Court of Law. 36. During the notice period for termination of the contract, in the situation contemplated above, the Contractor shall keep on discharging his duties as before till the expiry of notice period. 37. It shall be the duty of the Contractor to remove all the persons deployed by him on termination of the contract and ensure that no person creates any disruption/hindrance/problems of any nature to RCED (CLRI), Jalandhar. - 13 -

38. ARBITRATION. 1. In the event of any question dispute arising under the agreement or in connection herewith (Except as to matters the decision of which is specifically provided under the agreement) the same shall be referred to the sole arbitration of Director-General, CSIR or his nominee. 2. The award of the arbitrator shall be final and binding on the parties. In the event of such arbitrator to whom the matter is originally referred being transferred or on vacating his office or resigning or refusing to work or neglecting his work being unable to act for any reason whatsoever, the Director-General, CSIR shall appoint another person to act as Arbitrator in place of the outgoing Arbitrator in accordance with the terms of the Agreement and the person so appointed shall be entitled to proceed with the reference from the stage at which it was left by his predecessor. 3. The expression Director-General, CSIR shall mean and include an acting/officiating Director-General. 4. The Arbitrator may from time to time, with the consent of all parties enlarge the time for making (and publishing) the award. 5. The Arbitrator may give interim award(s) and/or directions, as may be required. 6. Subject to the aforesaid provisions, the Arbitration Act and the rules made there under and any modification thereof from the time being in force shall be deemed to apply to the arbitration proceedings under this clause. 7. The venue of the arbitration shall be CHENNAI. 39. Tenders should be accompanied by documents towards proof of Registration of ESI, EPF & Service Tax, Income Tax PAN and Compliance Statement duly filed up and signed. 40. The Contractor should have deposited all Statutory Payments like ESI, EPF and Service Tax with Competent authority under previous/existing contracts. The Contractor is required to provide Certificate from the previous Principal employer/documents in this regard. 41. Service charges quoted by the contractor should not be equal to or less than 2% which shall include income tax as well. 42. WHEREAS Contractor has represented that he is eligible to get this contract and there is no legal or any other bar for him in this respect. Any obligations and/or formalities which are required to be fulfilled under the said Act or any amendment thereto for the purpose of entering into and/or execution of this contract shall be carried out by the Contractor at his own expenses, etc., and the Contractor shall report the compliance thereof to the Scientist-in- Charge of Centre. The Contractor shall be solely liable for any violation of the provisions of the said Act or any other Act. WHEREAS CSIR has agreed to award the contract of Security Services of the properties mentioned in Annexure A and providing services of a Driver. AND WHEREAS the Contractor has agreed to furnish to the Lab/Instt. a security deposit of Rs. by way of Bank Guarantee or Fixed Deposit Receipt of any Nationalised Banks/Indian Post. NOW THEREFORE BY THESE ARTICLES AND ON THE PREMISES mentioned above, the parties have agreed to as under:- - 21 -

GENERAL CONDITIONS 1. That it is expressly understood and agreed between the parties to this Agreement that the persons deployed by the Contractor for the services mentioned above shall be the employees of the Contractor for all intents and purposes and that the persons so deployed shall remain under the control and supervision of the Contractor and in no case, shall a relationship of employer and employee between the said persons and the Centre shall accrue/arise implicitly or explicitly. 2. That on taking over the responsibility of providing security arrangements/driver, the Contractor shall formulate the mechanism and duty assignment of Security personnel in consultation with Scientist-in-Charge of the Centre or his nominee. Subsequently, the Contractor shall review the Security arrangement from time to time and advise the Scientist-in-Charge of the Centre for further streamlining their system. The Contractor shall further be bound by and carry out the directions/instructions given to him by the Scientistin-Charge of the Centre or the officer designated by the Scientist-in-Charge in this respect from time to time. 3. That the Scientist-in-Charge of the Centre or any other person authorized by the Scientistin-Charge shall be at liberty to carry out surprise check on the persons so deployed by the Contractor in order to ensure that persons deployed by him are doing their duties. 4. That in case any of the persons so deployed by the Contractor does not come up to the mark or does not perform his duties properly or indulges in any unlawful riots or disorderly conduct, the Contractor shall immediately withdraw and take suitable action against such persons on the report of the Lab./Instt./CSIR in this respect. Further, the Contractor shall immediately replace the particular person so deployed on the demand of the Scientist-in- Charge of the Centre in case of any of the aforesaid acts on the part of the said person. B. CONTRACTOR S OBLIGATIONS 1. That the Contractor shall provide SECURITY arrangement of Buildings/premises/Properties mentioned at annexure-a as deemed fit by him in consultation with the Scientist-in-Charge of the Centre. The contractor shall also provide one Driver with valid Driving Licence. 2. That for performing Security duties, the Contractor shall deploy persons round the clock. The work should be carried out on all days including Sundays and holidays. The Contractor shall ensure that the persons are punctual and disciplined in performance of their duty. It is further agreed that the Contractor shall engage medically and physically fit persons not below 18 years of age and preferably below the age of 50 years. The working hours for the personnel engaged under Job work contract (Driver) will be from Monday to Saturday 8.30 a.m. to 5.30 p.m. with one hour lunch break. However, work for the Driver may be assigned even on Sunday and Holidays as decided by the Scientist-in-Charge. 3. If there is any loss to the RCED (CLRI) on account of dishonesty, and/or due to any lapse on the part of the Contractor or his worker, the Contractor shall make good on demand, the loss to the RCED (CLRI), Jalandhar. - 23 -

4. That the Contractor shall ensure that the persons so deployed do not allow any property of the CLRI/CSIR to be taken out of the premises without a Gate Pass signed by the designated officials of the Lab/Instt. As a safeguard any dishonesty connivance and/or ulterior motive, the specimen signatures of the officials designated and authorized to sign the Gate Pass will be intimated in writing to the contractor along with subsequent changes, if any. The Scientistin-Charge shall make suitable arrangement to ensure compliance. 5. The Contractor shall report promptly to the RCED (CLRI) any theft or pilferage that takes place or where any attempt is made to that effect and loss, if any. It shall be the sole responsibility of the Contractor to ensure security and safety of all the property and assets moveable and immovable of the RCED (CLRI) and if there is any loss to the RCED(CLRI) on account of dishonesty, and/or due to any lapse on the part of the Contractor or his Worker, the Contractor shall make good on demand, the loss to the RCED(CLRI), Jalandhar. 6. That the Contractor shall submit details of the names, parentage, residential address, age, etc. of the persons deployed by him in the premises of the Centre for the purpose of proper identification of the employees of the Contractor deployed at various points, he shall issue identity cards bearing their photographs/identification, etc. and such employees shall display their identity cards at the time of duty. 7. That the Contractor shall at his own cost, if required, take necessary insurance cover in respect of the aforesaid services rendered to the Centre and shall comply with the statutory provisions of Contract Labour (Regulation & Abolition) Act, 1970; Employees State Insurance Act; Workman s Compensation Act, 1923, Payment of Wages Act, 1936, The Employees Provident Fund (and Miscellaneous Provisions) Act, 1952; Payment of Bonus Act, 1965, The Minimum Wages Act, 1948 Employer s Liability Act,1938, Employment of Children Act,1938 and/or any other Rules/regulations and/or statutes that may be applicable to them and shall further keep the Centre indemnified from all acts of omission, fault, breaches and/or any claim, demand; loss; injury and expense arising out from the non-compliance of the aforesaid statutory provision. Contractor s failure to fulfill any of the obligations hereunder and/or under the said Acts, rules/regulations and/or any bye-laws or rules framed under or any of these the Centre shall be entitled to recover any of the such losses or expenses which it may have to suffer or incur on account of such claims, demands, loss or injury from the contractor s monthly payments. 8. That the Contractor shall submit the proof of having deposited that amount of contribution claimed by him on account of ESI & EPF towards the persons deployed at Centre buildings in their respective names before submitting the bill for the subsequent month. In case the Contractor fails to do so, the amount claimed towards ESI & EPF contribution will be withheld till submission of required documents. - 25 -
